Terms of Service

TL;DR: Use TitanShieldAI legally, don't abuse the platform, pay for your plan, and we'll keep your systems protected. Break these rules and we may suspend your account.

1. Acceptance of Terms

By accessing or using the TitanShieldAI service (including our website at titanshield.ai, APIs, SDKs, dashboard, and any related software) you ("Customer", "you") agree to be bound by these Terms of Service ("Terms"). If you are accepting on behalf of a company or organization, you represent that you have authority to bind that entity, and "you" refers to that entity.

If you do not agree to these Terms, do not use the Service.

2. Description of Service

TitanShieldAI provides a security-as-a-service platform offering runtime threat detection, rate limiting, anomaly detection, AI-powered alerting, collective defense networks, and compliance tooling for software applications ("Service").

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. Account Registration & Security

3.1 Account Creation

Access to the Service requires a GitHub OAuth account. You agree to provide accurate information and keep it updated. You are responsible for all activity that occurs under your account.

3.2 Account Security

You must keep your credentials and API keys confidential. Notify us immediately at security@titanshield.ai if you suspect unauthorized access. We are not liable for losses caused by unauthorized use where you failed to protect your credentials.

3.3 One Account per User

Creating multiple accounts to circumvent usage limits or for fraudulent purposes is prohibited and grounds for immediate termination.

4. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You must not:

5. Subscription Plans & Billing

5.1 Plans

TitanShieldAI offers free and paid subscription tiers. Features and usage limits vary by plan. Current pricing is available at titanshield.ai/#pricing.

5.2 Payment

Paid plans are billed monthly or annually via Stripe. By providing payment information, you authorize us to charge your payment method on a recurring basis. All fees are in USD and are non-refundable except as required by law or stated in Section 5.4.

5.3 Taxes

You are responsible for all applicable taxes. Where required, TitanShieldAI will collect and remit sales tax or VAT on your behalf.

5.4 Refunds

Annual plan customers who cancel within 14 days of purchase may request a pro-rated refund for unused months. Monthly subscribers may cancel at any time; no partial-month refunds are issued.

5.5 Downgrades & Overages

If your usage exceeds plan limits, we will notify you and may charge overage fees at published rates or throttle service. We will not terminate without notice for overages alone.

6. Free & Beta Services

Free tier and beta features are provided "as is" without warranties. We may modify or discontinue free tier features with 30 days' notice. Beta features may contain bugs and are excluded from uptime SLA commitments.

7. Intellectual Property

7.1 Our IP

TitanShieldAI and all associated software, algorithms, trademarks, trade secrets, AI models, and documentation are owned by TitanShieldAI, Inc. You receive a limited, non-exclusive, non-transferable license to use the Service during your subscription.

7.2 Your Data

You retain all rights to data you submit to the Service ("Customer Data"). You grant TitanShieldAI a limited license to process Customer Data solely to provide the Service. We do not claim ownership of Customer Data.

7.3 Feedback

Any feedback or suggestions you provide about the Service may be used by TitanShieldAI without obligation or compensation to you.

8. Uptime & SLA

For paid Business and Enterprise plans, TitanShieldAI targets 99.9% monthly uptime for the core API. Scheduled maintenance (communicated 48 hours in advance) and force majeure events are excluded. Credit requests for SLA breaches must be submitted within 30 days via support@titanshield.ai.

9. Confidentiality

Each party may receive confidential information from the other. Both parties agree to use confidential information only for purposes of the Service and to protect it with reasonable care. This obligation survives termination for 3 years, with the exception of trade secrets which remain protected indefinitely.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TITANSHIELDAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TITANSHIELDAI DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT SECURITY THREATS WILL BE COMPLETELY PREVENTED.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Some jurisdictions do not allow limitation of liability for personal injury or consumer-protection claims, so these limits may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless TitanShieldAI, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service in violation of these Terms; (b) your Customer Data; (c) your violation of any law or third-party rights.

13. Termination

13.1 By You

You may cancel your account at any time from the dashboard. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may suspend or terminate your account immediately for: material breach of these Terms, non-payment after 10 days notice, or illegal activity. We will provide advance notice for other terminations where reasonably practical.

13.3 Effect of Termination

Upon termination, your right to use the Service ends. Customer Data will be deleted within 90 days of termination. You may export your data before termination.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any disputes will first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes will be submitted to binding arbitration under JAMS rules, except either party may seek injunctive relief in court for IP violations.

Class Action Waiver: You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

15. Changes to Terms

We may update these Terms at any time. Material changes will be communicated via email (for account holders) and posted at titanshield.ai/terms with at least 14 days' notice. Continued use after the effective date constitutes acceptance. Enterprise customers may be entitled to negotiate amendments — contact legal@titanshield.ai.
